Article C-1  -  Name

The name of this organization shall be the Baltimore Maryland Chapter, Institute of Industrial Engineers, hereinafter called the "Chapter".


Article C-II  -  Purpose

The purpose of the chapter shall be the purposes of the IIE as set forth in the Constitution as follows:

This Chapter is organized and shall be operated Exclusively for scientific, educational, and charitable purposes.  In the furtherance of such purposes, it shall be authorized:

Section 1.     To advance the general welfare of humanity through the resources and creative abilities of the Industrial Engineering profession.

Section 2.     To advance the art and science of Industrial Engineering for the general welfare of humanity.

Section 3.     To encourage and assist education and research in the art and science of Industrial Engineering.

Section 4.    To promote the unrestricted dissemination of knowledge and information by means of meetings and publications relating to the art and science of Industrial Engineering.

Section 5.     To receive, own, and maintain real or personal property, or both, and to use and apply the whole or any part of the income or principal thereof exclusively for scientific or educational purposes in the art and science of Industrial Engineering.

Section 6.     To assist Colleges and Universities in the development and improvement of educational programs in the art and science of Industrial Engineering.

Section 7.     Notwithstanding any of the foregoing provisions which may be constructed to the contrary, the Chapter shall not engage in any activity which is not educational, scientific, or charitable within the meaning of Section 501 (C) (w) of the 1954 Internal Revenue Code, and on dissolution of the Chapter, its assets shall be distributed to an organization organized and operated for similar educational, scientific, or charitable purposes.  No part of the income or principal of the chapter shall injure to the benefit of or be distributed to any Member, Director, or Officer of the corporation or any other private individual.  No substantial part of the activities of the Chapter shall be carrying on a propaganda or otherwise attempting to influence legislation.

Article C-III  -  Code of Ethics

The code of ethics of the Chapter shall be the Canons of Ethics prepared by the Engineers Council for Professional Development (ECPD) as follows:

CANONS OF ETHICS OF ENGINEERS

          The Engineer, to uphold and advance the honor and dignity of the engineering profession and in keeping with high standards of ethical conduct:

  1. Will be honest and impartial, and will serve with devotion their employer, their clients, and the public

  2. Will strive to increase the competence and prestige of the engineering profession

  3. Will use their knowledge and skill for the good of human welfare.

Article C-IV  -  Membership

Section 1.    The Chapter membership shall consist of Corporate Grades.

Section 2.     The term "member" (not capitalized) shall refer to all Corporate Grades.

Section 3.     The Corporate Membership Grades shall consist of Senior Members, Members, and Associate Members, who shall be entitled to vote and hold Chapter Office.

Section 4.     Definitions of the Grades of Membership of IIE are the same as those set forth in the Institute Constitution.

Article C-V  -  Election, Resignation, and Expulsion of Members

Section 1.     Persons who wish to join the Chapter and who feel that they have the required qualifications, may do so by filing an application.  Application blanks may be obtained from the Institute Headquarters or from designated officers of the Chapter.

Section 2.     Applications for membership shall be routed to the V.P. of Membership of the Chapter for consideration.  After reviewing the applicant's qualifications, the V.P. of Membership of the Chapter shall submit the application to the Institute with recommendations based upon the Guidelines of the Institute.  The Chapter shall abide by the final decision of the Institute.

Section 3.     Any member may withdraw from IIE at any time by sending a formal statement to that effect tot eh Institute Headquarters with a copy to the Secretary of the Chapter.  In event of withdraw, any refund of unexpired dues will be waived.

Section 4.     Any member convicted by the Chapter of conduct unbecoming a member and a representative of their profession, shall be dismissed and deprived of their membership.  Such expulsion requires a three-fourth vote of all Chapter Members in good standing, and shall be subject to review by the Institute Board of Trustees before same becomes effective.

Article C-VI  -  Organization

Section 1.     The officers of the Chapter shall be President; Executive Vice President; First Vice President-Membership; Second Vice President-Communications; Secretary and Treasurer.

Section 2.     The governing body of the Chapter shall be the Board of Directors consisting of the elected officers, the immediate past president, and three elected directors.  After an enrollment of 80 members has been reached, directors shall be elected at the ratio of one for every 20 additional members.  For purposes of computing the number of directors authorized, the immediate past president will be considered the same as an elected director.

Section 3.     Officers will be elected for a 1-year term.  For the first election of the four Non-officer directors, two shall be elected for a 1-year term and two for a 2-year term.  Each succeeding year thereafter, two directors, who may not be the retiring members of the board, will be elected for a 2-year term.

Section 4.     When the office of President becomes vacant, the Executive Vice-President shall serve the remainder of the term as President pro-tempore.  If any other offices become vacant, a temporary officer or director will be appointed by the President, subject to approval by the Board of  Directors, by a three-fourths affirmative vote.

Section 5.     When the office of Executive Vice President becomes vacant, the First Vice President will serve the remainder of the term as President Elect pro-tempore.

Section 6.     The officers shall carry such duties as are customarily connected with their offices and shall have such additional duties as may be assigned to them by the Board of Directors.

Section 7.     There is no limit to the number of terms officers may succeed themselves, thus allowing for re-election of an officer to the same office.

Article C-VII  -  Organization  -  Duties

Section 1.     President:  Shall be responsible for satisfactory operation of the Chapter in accordance with the Constitution and Bylaws.  This officer shall preside at regular and special meetings of the Chapter as well as the executive meetings.  This officer is authorized to sign checks in the absence of the Treasurer.

Section 2.     Executive Vice President:  Shall, in the absence of the President, perform the duties of the President.  This officer shall direct the following committee chairpersons:  Chapter Development, Constitution, Community Services, Program Development, Student Involvement, and Special Committees.

Section 3.     First Vice President (Membership):  Shall, in the absence of the President and Executive Vice President, perform the duties of the President.  This officer shall direct the following committee chairpersons:  Publicity.

Section 4.     Second Vice President (Communications):  Shall, in the absence of the President, Executive Vice President and First Vice President, perform the duties of the President.  This officer shall direct the following committee chairpersons:  Newsletter, Phone Squad, Employment, and Directory.

Section 5.     Secretary:  Shall keep and publish the minutes of the Executive Committee.  This officer shall perform such other duties as directed by the President.

Section 6.     Treasurer:  Shall receive all money taken in by the Chapter and shall deposit them to the credit of the Chapter in the authorized depository.  This officer shall pay all bills incurred by the Chapter and keep accurate up-to-date records of the transactions.

Section 7.     Board of Directors:  Shall be the governing body of the organization and shall perform all duties normally handled by a governing body.

Section 8.     Long Term Advisory Committee:  Shall study options available to the organization in terms of operation and recommend appropriate actions to the Officers and Board of Directors.

Article C-VIII  -  Elections and Meetings

Section 1.     Officers and Directors shall be elected by a majority vote of the ballots cast.  Election shall be held in accordance with the Bylaws of the Chapter.

Section 2.     Installation of Officers and Directors shall occur no later than March 31 of each year.

Section 3.     Not less than one membership meeting per month shall be held at the time and place determined by the Board of Directors during the period of October through May, inclusive.

Article C-IX  -  Elections and Nominations

Section 1.     The Nomination Committee shall be appointed by the outgoing President at least 1 month prior to election.  It shall consist of the President and four members or directors.  Provisions shall be made for nominations to be received fro the general membership.

Section 2.     The election shall be held between February 1 and February 25, and the ballots shall be counted no later than February 25.

Section 3.     The general membership shall be notified of the results of the election before the installation of the newly elected officers in the official monthly publication of the Baltimore Maryland Chapter.  Results of balloting shall be communicated simultaneously to National Headquarters.

Article C-X  -  Amendments

Section 1.     Amendments to this Constitution may be proposed by written petition of 10 percent of the membership or by action of the Board of Directors at any time throughout the year.

Section 2.     Copies of the proposed amendment shall be mailed to each member.

Section 3.     Proposed amendments must receive a three-fourths affirmative vote of the members present at the meeting where the scheduled vote is to be taken.

Article C-XI  -  Revisions

Section 1.     The Chapter shall submit to the National Board of Trustees for approval any bylaws, amendments, or revisions to this Constitution which may be enacted from time to time.

Section 2.     Revisions to the National Constitution and Bylaws affecting any part of the Chapter Constitution and Bylaws shall be automatically incorporated in the next annual review.


Article C-XII  -  Effective Date

Section 1.     This Constitution shall be effective upon ratification by a simple majority of the Chapter membership at an announced meeting.

Section 2.     A Chapter Members shall be defined as a member on the rolls of the Chapter at the time the Constitution is submitted for the vote.

Article C-XIII  -  Committees

          All standing committees shall be appointed by the respective elected officers and shall perform such duties as may be assigned, subject to approval by the Board of Directors.

Section 2.     Special or Technical Committees may be appointed by the President and shall perform such duties as may be assigned, subject by the Board of Directors.

Article C-XIV  -  Finance

Section 1.     The fiscal year shall be from April 1 to March 31.

Section 2.     Chapter dues shall be prescribed by Headquarters for all grades of membership.  All Chapter dues shall be paid with the Institute dues.

Section 3.     To be Chapter member in good standing, any individual must be a member in good standing of the Institute and must have paid their Institute and Chapter dues for the current year.
